TERMS AND CONDITIONS

These Terms and Conditions govern the use of the Donna & Rose New York website and all purchases made through our online store.

By visiting our website, placing an order, or otherwise using our services, you agree to these Terms and Conditions. Please read them carefully before making a purchase.

Although our trading name contains “New York,” Donna & Rose New York is operated by a company registered in the Netherlands. The use of “New York” forms part of our brand identity and does not mean that our company is legally established in New York.

Throughout these Terms, “Donna & Rose New York,” “we,” “us,” and “our” refer to Mathijs PT trading as Donna & Rose New York.

2. Scope and Acceptance

These Terms apply to all visitors, customers, and users of our website.

By accessing the website or placing an order, you confirm that:

  • you have read and accepted these Terms;

  • the information you provide is accurate and complete;

  • you are legally permitted to enter into a binding agreement; and

  • you are at least 18 years old or are using the website with the permission and supervision of a parent or legal guardian.

If you do not agree with these Terms, you must not use the website or place an order.

3. Our Business Model and Fulfilment Partners

Donna & Rose New York operates an online retail business using a direct-to-consumer fulfilment model, commonly referred to as dropshipping.

This means that products may be stored, packaged, and shipped directly to customers by third-party suppliers or fulfilment partners rather than from a warehouse operated by Donna & Rose New York.

Our suppliers and fulfilment partners may be located outside the United States, including in China and other countries.

By placing an order, you acknowledge that:

  • your order may be fulfilled and shipped by a third-party supplier;

  • products may be shipped internationally;

  • separate products from the same order may be sent in different packages;

  • packages may arrive on different dates;

  • packaging may contain shipping information relating to a fulfilment partner; and

  • tracking information may be provided by an international or local delivery carrier.

Donna & Rose New York remains the seller responsible for handling customer service enquiries relating to purchases made through our website.

4. Product Information

We make reasonable efforts to ensure that product descriptions, images, prices, colours, measurements, availability, and other information are accurate and up to date.

However:

  • colours may appear differently depending on screen settings, lighting, and photography;

  • measurements may contain small variations due to manual measurement;

  • product packaging may differ from the packaging displayed;

  • minor design, colour, stitching, pattern-placement, or material variations may occur between production batches; and

  • product images may include styling items or accessories that are not included unless expressly stated.

These reasonable variations do not automatically mean that a product is defective.

Nothing in this section permits us to provide a product that is materially different from the product ordered or to exclude rights that cannot legally be excluded.

If you receive an incorrect, damaged, defective, or materially different product, please contact us in accordance with Section 16.

5. Product Availability

All products are subject to availability.

Adding a product to your shopping cart does not reserve that product. A product may become unavailable before your order has been accepted or fulfilled.

If a product becomes unavailable after payment, we may:

  • contact you to offer a suitable alternative;

  • offer to wait until the product becomes available again; or

  • cancel the affected item and issue a refund to the original payment method.

You are not required to accept a substitute product.

6. Prices and Currency

Unless stated otherwise, prices displayed on our United States website are shown in United States dollars (USD).

Prices may change at any time, but price changes will not normally affect an order that we have already accepted.

The total price shown during checkout may include:

  • the price of the products;

  • applicable shipping charges;

  • discounts;

  • sales tax, where collected; and

  • other charges clearly disclosed before payment.

We reserve the right to correct obvious pricing, typographical, or technical errors.

If an incorrect price materially affects your order, we may contact you before fulfilment and allow you to:

  • confirm the order at the correct price; or

  • cancel the affected item for a full refund.

We will not charge an increased price without informing you.

7. Sales Tax, Customs, and Import Charges

Sales tax may be collected during checkout where we are legally required or authorised to collect it.

Because products may be shipped internationally, an order may be subject to customs inspections, import duties, local taxes, brokerage fees, or other government charges.

Unless the checkout page or product page expressly states that these charges are included:

  • any import duties, customs charges, or local fees imposed by the destination authorities may be the customer’s responsibility; and

  • Donna & Rose New York does not control the amount or timing of these charges.

Customers are responsible for ensuring that products ordered can legally be imported into their state or country.

We recommend contacting the relevant customs authority if you are uncertain about possible charges.

8. Placing an Order

To place an order, you must provide accurate and complete information, including:

  • your name;

  • email address;

  • billing information;

  • delivery address; and

  • any other information reasonably required to process the order.

You are responsible for checking your order and delivery information before completing payment.

After an order is submitted, you may receive an automated confirmation email. This confirms that we have received your order but does not always mean that the order has been finally accepted.

An order is accepted when we begin processing or fulfilment, send a shipping confirmation, or otherwise expressly confirm acceptance.

9. Our Right to Refuse or Cancel an Order

We may refuse, limit, or cancel an order where reasonably necessary, including where:

  • a product is unavailable;

  • incorrect pricing or product information was displayed;

  • the payment was declined or reversed;

  • we suspect fraud, unauthorised payment, resale activity, or abuse;

  • the customer provided incomplete or incorrect information;

  • the delivery address is unsupported;

  • fulfilment would breach applicable law;

  • an order contains an unusually high quantity of products; or

  • a technical error affected the order.

If we cancel an order after payment and before the goods are supplied, we will refund the amount paid for the cancelled products to the original payment method.

We will not be responsible for losses resulting solely from a lawful refusal or cancellation, except where responsibility cannot legally be excluded.

10. Payment

Orders must be paid in full using one of the payment methods made available during checkout.

Available payment methods may vary depending on the customer’s location, currency, device, payment provider, or other factors.

By submitting payment information, you confirm that:

  • you are authorised to use the selected payment method;

  • the information provided is accurate; and

  • sufficient funds or credit are available.

Payments may be processed by third-party payment providers. We do not generally receive or store complete payment-card details.

We may perform reasonable fraud-prevention checks before accepting or fulfilling an order.

11. Order Changes and Cancellations

We begin processing orders as soon as reasonably possible.

We cannot guarantee that an order can be changed or cancelled after it has been submitted.

Once an order has entered fulfilment, been transferred to a supplier, or been shipped, it may no longer be possible to cancel or modify it. In that situation, the customer may need to wait until delivery and use the applicable return procedure.

A cancellation request is not approved until we confirm it in writing.

This section does not limit any cancellation or refund rights that apply under mandatory law.

12. Processing and Shipping

Our usual estimated processing time is:

Our usual estimated shipping time after dispatch is:

3–7 business days, depending on the destination

Business days do not normally include Saturdays, Sundays, or public holidays.

Unless expressly stated as guaranteed, processing, shipping, and delivery times are estimates only.

Delivery may take longer because of circumstances including:

  • customs inspections;

  • carrier delays;

  • severe weather;

  • public holidays;

  • peak sales periods;

  • incorrect or incomplete addresses;

  • failed delivery attempts;

  • local postal delays;

  • transportation disruptions;

  • supplier processing delays; or

  • events outside our reasonable control.

Because we use third-party suppliers, items from one order may be shipped separately and may have different tracking numbers or delivery dates.

13. Shipping Delays

We aim to ship orders within the timeframe communicated on our website or during checkout.

If we become aware that we cannot ship an order within the promised timeframe, we may contact the customer with:

  • an updated estimated shipping date;

  • a request for consent to the delay; and

  • any cancellation or refund options required under applicable law.

Where required by applicable law, customers may cancel an unshipped order affected by a material delay and receive a refund for the cancelled merchandise.

A delay does not automatically entitle a customer to additional compensation where the order is still delivered and no such compensation is required by law.

14. Delivery Address

Customers are responsible for providing a complete and accurate delivery address.

Please carefully check:

  • house or building number;

  • apartment or unit number;

  • street name;

  • city;

  • state;

  • ZIP code; and

  • recipient name.

If you notice an error, contact us immediately. We cannot guarantee that an address can be changed once fulfilment has started.

We are not responsible for delays or losses resulting from an incorrect or incomplete address provided by the customer, except where we could reasonably have corrected the error before shipment and failed to do so.

If a package is returned because of an incorrect address, refusal, failed delivery attempt, or failure to collect it, additional shipping charges may apply before it can be resent.

15. Tracking and Delivered Packages

Where available, tracking information will be sent after an order has shipped.

Tracking updates may take several business days to appear, particularly while a package is travelling internationally or being transferred between carriers.

If tracking shows that a package has been delivered but you cannot locate it, you should promptly:

  • check the delivery location and surrounding area;

  • ask household members or neighbours;

  • check with reception, building management, or a mailroom;

  • contact the carrier; and

  • contact us with your order number.

We may ask you to cooperate with a carrier investigation or provide a statement confirming non-receipt.

A “delivered” tracking status will be considered relevant evidence of delivery, but it will not automatically remove rights or remedies that cannot legally be excluded.

We are not responsible for theft or loss occurring after a package has been correctly delivered to the address provided, except where applicable law provides otherwise.

16. Damaged, Defective, Incorrect, or Missing Items

Customers should inspect their order as soon as reasonably possible after delivery.

If an item is damaged, defective, incorrect, incomplete, or materially different from the product ordered, contact us promptly at:

Please include:

  • your full name;

  • order number;

  • a description of the issue;

  • clear photographs or video of the product;

  • photographs of the packaging and shipping label, where relevant; and

  • any other information reasonably needed to investigate the issue.

Do not discard the product or packaging until we have reviewed the claim.

Depending on the circumstances and applicable law, an appropriate solution may include:

  • a replacement;

  • reshipment of a missing item;

  • a partial refund;

  • a full refund;

  • store credit, where accepted by the customer; or

  • another reasonable solution.

The precise solution will depend on the nature of the issue, available evidence, stock availability, and applicable consumer law.

Nothing in these Terms limits remedies that cannot legally be excluded.

17. Returns and Refunds

Returns and refunds are governed by our separate Return and Refund Policy, which forms part of these Terms.

Customers must review the Return and Refund Policy before placing an order.

The Return and Refund Policy explains matters including:

  • the applicable return period;

  • product-condition requirements;

  • non-returnable products;

  • return authorisation;

  • the return address;

  • responsibility for return shipping costs;

  • required tracking;

  • damaged or incorrect products;

  • refund processing; and

  • any conditions applying to sale or clearance products.

Products must not be returned to an address shown on the original parcel without first contacting us. Our fulfilment or supplier address may differ from the authorised returns address.

Unauthorised returns may be refused or may not be identifiable.

Unless the product is defective, incorrect, or applicable law requires otherwise, the customer may be responsible for return shipping charges.

Original shipping charges are non-refundable unless required by applicable law or expressly stated in our Return and Refund Policy.

Refunds that are approved will normally be issued to the original payment method. The time required for a refund to appear depends on the bank, card issuer, and payment provider.

18. Return Shipping to International Facilities

Because we use international suppliers and fulfilment partners, an authorised return address may be located outside the United States, including in China.

Customers must contact us before returning an item so that we can provide the correct return instructions and address.

Where the customer is responsible for return shipping:

  • the customer may choose an appropriate postal or courier service;

  • we strongly recommend using a tracked service;

  • the customer is responsible for ensuring that the address is entered correctly;

  • the customer should retain proof of postage and tracking information; and

  • the customer may be responsible for customs declarations and associated return costs.

We are not responsible for an unauthorised return sent to an incorrect address.

These provisions do not require a customer to pay return costs where Donna & Rose New York is legally required to cover them.

19. Refused and Unclaimed Packages

If a customer refuses delivery or fails to collect a package, the package may be returned to the sender, supplier, carrier facility, or disposal location.

Any refund or reshipment will be considered after the package’s status can be verified.

Where permitted by law, reasonable shipping, return, handling, or recovery costs may be deducted from a refund if the delivery failed because:

  • the customer refused the package without prior authorisation;

  • the customer failed to collect it;

  • an incorrect address was provided; or

  • the carrier could not complete delivery because of circumstances attributable to the customer.

No deduction will be made where prohibited by applicable law.

20. Promotions and Discount Codes

Promotional offers and discount codes may be subject to additional conditions displayed with the promotion.

Unless otherwise stated:

  • discount codes cannot be exchanged for cash;

  • only one discount code may be used per order;

  • codes cannot be applied retrospectively;

  • offers are available for a limited time;

  • some products may be excluded;

  • discounts may not apply to shipping charges, taxes, or gift cards;

  • promotions cannot be combined; and

  • we may cancel or restrict a promotion where there is fraud, abuse, or a technical error.

A promotion may be withdrawn or changed before an order is placed.

Orders already accepted will not normally be affected, except in cases of fraud, abuse, or obvious error.

21. Final Sale and Clearance Items

Certain products may be marked “Final Sale,” “Clearance,” or otherwise subject to different return conditions.

Any material restriction will be disclosed on the relevant product page, during checkout, or in our Return and Refund Policy.

A final-sale designation does not exclude rights relating to products that are defective, incorrect, misdescribed, or otherwise protected by applicable law.

22. Gift Cards and Store Credit

Where gift cards or store credit are offered, additional terms may apply.

Unless otherwise stated:

  • gift cards and store credit have no cash value;

  • they cannot be redeemed for cash, except where required by law;

  • they may only be used through our website;

  • they cannot be used to purchase another gift card;

  • they must be protected by the recipient; and

  • we are not responsible for unauthorised use after delivery of the code.

Expiration dates and other restrictions will be applied only where legally permitted and clearly disclosed.

23. Chargebacks and Payment Disputes

We encourage customers to contact us before initiating a payment dispute so that we have an opportunity to investigate and resolve the issue.

Customers must not knowingly submit false, misleading, or fraudulent chargeback claims.

Where a payment dispute is opened, we may provide the payment provider with relevant information, including:

  • the order confirmation;

  • delivery and tracking information;

  • communications;

  • refund records;

  • website policies; and

  • evidence relating to fulfilment.

Nothing in these Terms limits a customer’s lawful right to dispute a payment through a bank, card issuer, or payment provider.

  • requesting additional confirmation;

  • limiting order quantities;

We will take reasonable steps to reduce the effects of such an event and fulfil our obligations when reasonably possible.

This section does not remove refund or cancellation rights that apply under mandatory law.

33. Complaints

  • the resolution you are requesting; and

  • any relevant photographs or supporting documents.

We aim to acknowledge or respond to complaints within five business days.

Complex cases, carrier investigations, or supplier enquiries may take longer to resolve. We will provide updates where reasonably possible.

34. Governing Law

These Terms and any agreement between the customer and Donna & Rose New York are governed by the laws of the Netherlands, without regard to conflict-of-law principles.

However, this choice of law does not remove or restrict any mandatory consumer rights that apply under federal law or the law of the United States state in which the customer resides.

Nothing in these Terms requires a customer to waive rights that cannot legally be waived.

35. Dispute Resolution and Jurisdiction

We encourage customers to contact us first so that we can attempt to resolve any dispute informally.

If a dispute cannot be resolved, either party may pursue remedies through a court or another dispute-resolution procedure that has jurisdiction under applicable law.

To the extent legally permitted, disputes may be submitted to the competent courts of the Netherlands.

However, this section does not prevent a consumer from bringing a claim in another competent jurisdiction where mandatory consumer law grants that right.

These Terms do not require mandatory arbitration and do not include a waiver of class-action rights.

36. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in full force and effect.

37. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive the right to enforce it later.

A waiver is valid only when expressly confirmed in writing.

38. Assignment

Customers may not transfer their rights or obligations under an order without our prior written consent.

We may transfer our rights or obligations to another business as part of a restructuring, sale, transfer, or change in fulfilment arrangements, provided that this does not materially reduce the customer’s legal rights.

39. Entire Agreement

These Terms, together with the policies incorporated into them, form the agreement between the customer and Donna & Rose New York regarding use of the website and purchases.

The incorporated policies include our:

  • Return and Refund Policy;

  • Shipping Policy;

  • Privacy Policy;

  • Cookie Policy; and

  • Payment Policy.

If there is a conflict, the more specific policy will apply to the relevant issue, unless mandatory law requires otherwise.

  • fulfilment arrangements;

  • payment methods;

  • applicable laws; or
